Any vacancy occurring on the Board of Directors and any vacant director position may be filled by the affirmative vote of a majority of the current members of the Board of Directors, unless otherwise provided in the articles of incorporation or the bylaws. A director elected to fill a vacancy shall be elected for the unexpired term of his predecessor in office. [Res. 2011-32; 2008 Code § 9.3.1.22]
