(a) Regular or special meetings of the Board of Directors may be held at such place as determined by the Board of Directors, and upon such notice as may be prescribed by the bylaws, or where not inconsistent with the bylaws, by resolution of the Board of Directors.

(b) A director’s attendance at any meeting shall constitute a waiver of notice of such meeting, except that a director may attend with the purpose of objecting to the transaction of business because the meeting was not lawfully called or convened. [Res. 2011-32; 2008 Code § 9.3.1.25]
