(a) The original of the articles of dissolution and two duplicates shall be delivered to the OJA Director. If the OJA Director finds that the articles of dissolution conform to tribal law and all fees have been paid, the OJA Director shall:

(1) Endorse on the original and the duplicate copies the word “Filed” and the month, day, and year of filing thereof;

(2) File one of such duplicate copies in office of the OJA Director;

(3) Issue a certificate of dissolution to which the OJA Director shall affix the other duplicate copy; and

(4) Deliver the certificate of dissolution, together with the duplicate copy affixed thereto, to the representative of the dissolved corporation.

(b) Upon the issuance of such certificate of dissolution, the existence of the corporation shall cease, except for the purpose of pending lawsuits or other proceedings. [Res. 2011-32; 2008 Code § 9.3.4.6]
