(a) If the OJA Director determines that a ground exists for administratively dissolving a corporation, the OJA Director shall enter a record of the determination and serve the corporation with a copy of the record.

(b) If the corporation does not correct each ground for dissolution or demonstrate to the reasonable satisfaction of the OJA Director that each ground determined by the OJA Director does not exist within sixty (60) days after service of the notice, the OJA Director shall administratively dissolve the corporation by signing a certification of the dissolution that recites the ground for dissolution and its effective date. The OJA Director shall file the original of the certificate and serve the corporation with a copy of the certificate.

(c) The administrative dissolution of a corporation does not terminate the authority of its registered agent for service of process. [Res. 2011-32; 2008 Code § 9.3.5.5]
