(a) The Board of Directors shall manage the affairs of a corporation. Directors need not be residents of St. Paul Island, members of the corporation, or tribal members, unless the articles of incorporation or the bylaws impose other qualifications for directors. Directors must be at least eighteen (18) years of age.

(b) Where the community is an incorporator, no Tribal Council member may serve as a director of the corporation. [Res. 2011-32; 2008 Code § 9.3.1.20]
