(a) Except where expressly stated in a resolution passed by the Tribal Council, all corporations owned by the community, in whole or in part, formed under this chapter shall be considered an arm of the Tribal Government and enjoy all aspects of tribal sovereign immunity.

(b) Except where expressly provided by a resolution passed by the Tribal Council, a corporation shall be considered an arm of the Tribal Government if the community owns any amount of the corporation.

(c) Any Tribal Council resolution waiving sovereign immunity must contain the words “the community expressly and unequivocally waives its sovereign immunity.” Waivers of sovereign immunity shall not be general but shall be specific.

(d) Neither the power to sue and be sued provided in the bylaws of the corporation owned by the community, nor any express waiver of sovereign immunity by resolution of the Tribal Council, shall be deemed a consent to the levy of any judgment, lien, or attachment upon any property of the corporation owned by the community, other than property specifically pledged or assigned, or any property of the community, or a consent to suit with respect to any land owned by the community or consent to the alienation, attachment, or encumbrance of any such land.
